Terms of Use

1. Services

Clarke Studio AI designs, trains, and deploys conversational AI agents for businesses. Our offerings include WhatsApp AI, Web + WhatsApp, Omnichannel (WhatsApp, Instagram DMs, and web), and AI Voice Calls. Each engagement is scoped individually to the needs of the client.

2. Engagement and Scope

Each project is governed by a separate scope document agreed upon at kickoff. Any changes to the agreed scope must be confirmed in writing by both parties before work begins. Clarke Studio AI reserves the right to decline requests that fall outside the original scope.

3. Payment

Fees are defined per the agreed package and confirmed in the project agreement. All payments are due according to the schedule specified at contract signing. Failure to pay within the agreed timeframe may result in service suspension.

4. Intellectual Property

Clarke Studio AI retains full ownership of its platform, infrastructure, methodologies, and proprietary tools. Content created specifically for your brand — including persona design, conversation scripts, and knowledge bases — is owned by the client upon receipt of full payment.

5. Client Responsibilities

  • Provide accurate and complete business information during onboarding.
  • Ensure that your use of AI agents complies with applicable laws and regulations in your jurisdiction.
  • Comply with the platform terms of WhatsApp (Meta), Instagram (Meta), and any other channel you deploy the agent on.
  • Maintain the confidentiality of any access credentials provided by Clarke Studio AI.

6. Limitation of Liability

Clarke Studio AI is not liable for indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Our total cumulative liability for any claim is limited to the total amount paid by the client in the 30 days preceding the event giving rise to the claim.

7. Service Availability

We target high availability for all deployed agents but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. Downtime caused by third-party platforms (WhatsApp, Instagram, cloud providers) is outside our control.

8. Governing Law

These Terms of Use are governed by applicable international commercial law principles. Any dispute will first be addressed through good-faith negotiation between both parties. Formal proceedings will only be initiated if negotiation fails after 30 days.

9. Modifications

Clarke Studio AI reserves the right to update these Terms of Use at any time. The effective date at the top of this page will reflect the latest revision. Continued use of our services after any update constitutes your acceptance of the revised terms.
